Summary
The Associate General Counsel (AGC) provides a broad range of legal services and day to day advice to the University, its officers, faculty and staff. The Associate General Counsel participates on committees and collaborates on projects to address risk management and compliance considerations in the advancement of institutional objectives.
Reporting and Supervisory Responsibilities
The Associate General Counsel reports to the University General Counsel.
Typical Functions
- Provides timely, accessible, responsive and sound legal services to University constituencies in a collaborative professional environment on the full array of legal issues arising in the context of higher education, including employment and labor contracts, constitutional, legislative and regulatory matters (e.g., free speech, FERPA, Title IX, discrimination and harassment, Clery, VAWA, data privacy and security, financial aid, and immigration), open records and open meetings, student privacy rights, intellectual property, real estate, procurement, legal compliance and risk management.
- Reviews and/or approves contracts and agreements as to legality and form, and makes recommendations for approval of legal documents.
- Furnishes legal opinions as requested by the Board of Regents and senior level executives, including legal memoranda and opinions.
- Performs legal research and analyses.
- Prepares and reviews legal documents.
- Assists with the drafting of rules, policies and procedures.
- Provides training on legal interpretations and issues to University administrators, staff, and designated representatives.
- Attends Board of Regents meetings, as appropriate, to provide information, case summaries, status reports of specific case, etc.
- Represents the University in federal and state court in litigation matters, including, but not limited to, such matters as civil suits, torts, contracts, employment, discrimination, constitutional violations, student affairs, public records. Meets with University administrators, staff or designated representatives to prepare for cases.
- Assists in procurement of legal services from outside counsel and works closely with selected counsel to coordinate litigation services with client entities, as well as assist with discovery, research, and drafting of pleadings as appropriate. Manages contracts with outside counsel, including such tasks as reviewing and approving invoices, negotiating contract amendments as necessary, and monitoring services provided to ensure cost effective representation.
- May represent the University in collective bargaining matters, including but not limited to selected grievance or interest arbitrations.
- Performs miscellaneous job-related duties as assigned.
Knowledge, Skills, and Abilities
- Knowledge of contract documents and specifications.
- Ability to develop and deliver presentations.
- Ability to create, compose, and edit legal memoranda and other written materials.
- Ability to investigate and analyze information and draw conclusions.
- Ability to represent University officials in litigation or administrative proceedings.
- Ability to draft legal documents, such as pleadings, legal responses, affidavits, position statements, and briefs.
- Knowledge of current and developing legal issues and trends.
- Knowledge of the principles and procedures of legal research.
- Knowledge of process requirements of administrative hearings and litigation.
- Knowledge of legal documentation procedures and requirements.
- Ability to develop and implement legal strategies and solutions.
Minimum Qualifications
Juris Doctor from an accredited law school plus three years of experience in the licensed practice of law and admission to the Utah State Bar within six months of appointment to the position is required.
Work Environment and Physical Requirements
Employees work indoors and are protected from weather and/or contaminants, but not, necessarily, occasional temperature changes. The employee is regularly required to sit and often uses repetitive hand motions.
